Your access or use of the Services in any manner means that you agree to all of these Terms of Use (the “Terms”), and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document as well as those in our Privacy Policy and any additional policies, rules, and conditions that may apply to certain features (“Additional Terms”). By using any part of the Services, you agree to comply with all applicable Additional Terms.

They contain important information about your rights, obligations, and limitations, including dispute resolution by arbitration and a class action waiver.

ARBITRATION NOTICE & CLASS ACTION WAIVER

Except for certain disputes described below, you agree that disputes between you and Vertex Trend will be resolved by binding, individual arbitration, and you waive your right to participate in a class action lawsuit or class-wide arbitration.

1. Will these Terms ever change?

We are continually improving our Services, so these Terms may change. We may revise the Terms at any time. If we do, we will post a notice on our Site.

If you do not agree to future changes, you must stop using the Services. Continued use after updated Terms become effective means you accept the changes.

No modification of these Terms will be effective unless in writing and signed by both parties.

2. What about my privacy?

We take privacy seriously. Please refer to our Privacy Policy, which explains how we collect, use, and share information.

3. What are the basics of using the Site?

You represent and warrant that:

  • You are of legal age to form a binding contract.

  • You will use the Services only for personal, internal, non-commercial purposes.

  • You will comply with all applicable laws.

License You Grant to Us

By submitting User Submissions, you grant Vertex Trend a worldwide, non-exclusive, perpetual, royalty-free, sublicensable, transferable license to use, modify, reproduce, distribute, and display your content for purposes related to operating the Services.

You also grant other users a non-exclusive license to access and use your User Submissions as permitted under these Terms.

7. What if I have a copyright complaint?

We respect intellectual property rights and reserve the right to remove infringing content. If you believe your copyright has been violated, you may contact us by written notice at our corporate address.

8. Third-party sites and content

The Services may contain links to third-party sites. You acknowledge:

  • Vertex Trend is not responsible for third-party sites or content.

  • You interact with such sites at your own risk.

  • We are not liable for any loss or damage arising from third-party interactions.

9. AI Tools

Some components of the Services may use generative AI tools to improve functionality such as search, recommendations, or content organization. These AI tools may process user inputs (including posts, profile information, and search queries). Such processing is used solely to enhance the user experience and improve our Services.

10. Will the Services ever change?

We may modify, suspend, or discontinue any part of the Services at any time. We may remove Content at our discretion, without notice.

11. Termination

You may stop using the Services at any time.

Vertex Trend may terminate or suspend your access for any reason, including violation of these Terms. Termination may result in loss of access to your Content.

Sections intended to survive termination (e.g., intellectual property, limitations of liability, arbitration) will remain in effect.

12. Warranty Disclaimer

THE SERVICES ARE PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
Vertex Trend does not guarantee uninterrupted or error-free operation of the Services.

Some jurisdictions do not allow exclusion of implied warranties; certain terms may not apply to you.

13. Limitation of Liability

To the fullest extent permitted by law, Vertex Trend shall not be liable for:

  • Indirect, special, incidental, punitive, or consequential damages

  • Loss of profits, data, goodwill, or business interruption

  • Any liability exceeding $100 in total

Some jurisdictions do not allow certain limitations, so some may not apply.

14. Indemnification

You agree to indemnify and hold harmless Vertex Trend from any claims arising from:

  • Your use of the Services

  • Your violation of these Terms

  • Third-party actions using your account

15. Assignment

You may not transfer your rights under these Terms.
Vertex Trend may freely assign its rights and obligations.

16. Choice of Law

This clause is governed by the Federal Arbitration Act.

17. Arbitration Agreement

All disputes shall be settled in New York State through binding arbitration in accordance with the JAMS Simplified Arbitration Rules.

  • No jury trial

  • No class actions

  • Arbitration fees for claims under $75,000 will be paid by Vertex Trend

You may opt out of arbitration within 30 days by sending written notice to our corporate address.

If the class action waiver is found unenforceable, the arbitration requirement becomes void and disputes will be heard in court in San Francisco County.

18. Miscellaneous

  • Each party is responsible for its own taxes.

  • Failure to enforce rights does not constitute a waiver.

  • If any provision is invalid, it will be limited to the minimum extent.

  • These Terms constitute the entire agreement between you and Vertex Trend.
